1. Service Overview
These Terms and Conditions govern the use of the Digital Loyalty Pass Subscription Service (the "Service") provided by Fram Bulgaria, a company registered in Bulgaria ("we," "us," or "our"). By purchasing the Service, you ("Client," "you," or "your") agree to comply with these Terms and Conditions.
2. Service Description
We offer a subscription-based service that includes:
Initial setup and design of a Digital Loyalty Pass customized for your business.
Ongoing maintenance of the service.
Two push notification campaigns per month.
The monthly fee for the Service is €110.
3. Service Availability
The Service is available to businesses worldwide.
By subscribing, you confirm that you are a legally registered business entity in your jurisdiction.
We deliver the Service from our base in Bulgaria and comply with Bulgarian and EU regulations for international services.
4. Delivery Time (Go-Live Date)
The Digital Loyalty Pass will be ready for launch within 30 days of purchase, unless otherwise communicated in writing.
Delays due to incomplete information or lack of timely feedback from the Client may result in adjustments to the delivery timeline.
5. Subscription and Payment Terms
The subscription fee is €110 per month, billed at the start of each subscription period.
Payments are processed via Squarespace's secure platform or other authorized payment gateways.
Non-payment may result in suspension or termination of the Service.
6. Cancellation Policy
You may cancel your subscription at any time with a 30-day written notice.
Upon cancellation, no refunds will be provided for the remaining days of the subscription period.
7. Client Responsibilities
You are responsible for providing accurate and complete information required for the Service setup.
You must respond to our communications in a timely manner to ensure smooth service delivery.
You agree not to misuse the Service for unlawful or unethical purposes.
8. Limitations of Liability
We are not liable for indirect, incidental, or consequential damages arising from the use of the Service.
While we strive to ensure uninterrupted Service, we are not responsible for disruptions caused by factors beyond our control, such as third-party software or platform outages.
9. Taxes and VAT
If applicable, VAT will be charged in compliance with Bulgarian and EU regulations. For international clients, the reverse charge mechanism may apply, subject to confirmation of your VAT registration status.
You are responsible for complying with tax regulations in your country of operation.
10. Intellectual Property
All designs, materials, and campaigns created by us remain our intellectual property until full payment for the Service is received.
Upon full payment, you are granted a non-exclusive license to use the materials for your business purposes.
11. Modifications to the Terms
We reserve the right to modify these Terms and Conditions at any time. Any updates will be communicated via email and published on our website.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Bulgaria.
Any disputes will be resolved through negotiation. If no resolution is achieved, disputes will be subject to the exclusive jurisdiction of Bulgarian courts.
13. Termination of Service
We reserve the right to terminate the Service for violations of these Terms and Conditions or non-payment.
Termination does not waive your obligation to pay any outstanding fees.
